Terms of Service

Welcome to Groopie — a group-travel planning app that helps you and your crew plan trips together: shared itineraries, tasks, packing lists, expenses, chat, and AI-assisted suggestions. These Terms of Service ("Terms") are a binding agreement between you and Groopie ("we," "us," "our"). By creating an account or using Groopie, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use Groopie.

1. Eligibility

You must be at least 13 years old to use Groopie. If you are under the age of majority where you live, you may only use Groopie with the involvement of a parent or guardian. By using Groopie you represent that you meet these requirements and that the information you provide is accurate.

If you use Groopie on behalf of an organization, you represent that you are authorized to accept these Terms for it.

2. Your account

You are responsible for your account and for keeping your login credentials secure. You agree to provide accurate information and to keep it up to date. You are responsible for activity that happens under your account. Notify us promptly at hello@groopie.ai if you believe your account has been compromised.

You may enable biometric sign-in (Face ID / Touch ID) on supported devices. That convenience is provided by your device's operating system; you remain responsible for the security of your device.

3. Group trips & shared content

Groopie is collaborative. When you join or are added to a trip or crew, other members of that trip or crew can see the content you contribute there — including your name and profile photo, chat messages, itinerary items, tasks, packing items, expenses and settle-up details, photos you upload, votes, comments, and similar activity.

Trip organizers and editors have additional controls, such as approving proposals, editing shared content, finalizing a trip, and managing members and roles. Do not post content to a trip or crew that you would not want the other members of that group to see.

You are responsible for the content you contribute. You grant other members of a trip or crew a limited license to view and use your contributed content within that group for the purpose of planning and remembering the trip.

4. Acceptable use

You agree not to misuse Groopie. In particular, you will not: (a) break the law or infringe anyone's rights; (b) upload content that is illegal, harassing, hateful, defamatory, sexually exploitative, or that violates others' privacy or intellectual property; (c) attempt to access accounts, data, or systems you're not authorized to; (d) probe, scan, or test the vulnerability of our systems, or bypass security or rate limits; (e) scrape, harvest, or bulk-export data except through features we provide; (f) send spam or automate account creation; (g) reverse engineer or interfere with the app except to the extent the law permits; or (h) use Groopie to build a competing product.

We may remove content and suspend or terminate accounts that violate these Terms, or where we reasonably believe it is necessary to protect Groopie, its users, or the public.

Zero tolerance for objectionable content and abusive behavior. Groopie has no tolerance for objectionable content (including harassment, hate, threats, sexual exploitation, or other abusive material) or abusive users. You can flag or report content and other members directly in the app, and you can block a member so they can no longer see your content or contact you. We review reports and act on them — typically within 24 hours — by removing offending content and suspending or ejecting the users responsible. By using Groopie you agree there is no tolerance for such content or conduct.

5. AI features

Groopie offers AI-assisted features — for example, trip and activity suggestions, "Groopie" in-chat help, packing and itinerary ideas, and cost estimates. To provide these, relevant inputs (such as your prompt, trip details, and the recent chat context you're acting on) are sent to third-party AI providers for processing. AI output can be inaccurate, incomplete, or out of date — treat it as a helpful starting point, not professional advice, and verify anything important (prices, opening hours, bookings, safety, visas, health) yourself.

A trip's organizer/editor can turn AI suggestions off for that trip. You are responsible for how you use AI output.

6. Expenses, settle-up & payments

Groopie helps you track shared expenses and calculate who owes whom. Groopie does not process payments, hold funds, or move money. Any settlement handles you add (such as Venmo, Cash App, or Zelle) are shared with your trip members so they can pay each other directly through those third-party services. Groopie is not responsible for those payments or for the accuracy of amounts you enter. Settle balances between yourselves; Groopie is a record-keeping tool, not a payment processor or financial institution, and does not provide financial advice.

7. Your content & our license

You keep ownership of the content you create in Groopie. To operate the service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt (e.g., resize images), and display your content solely to provide and improve Groopie and its features to you and your trip/crew members. This license ends when you delete the content or your account, except where the content has been shared with others who retain it, or where we must retain it to comply with law.

You represent that you have the rights to the content you upload and that it does not violate these Terms.

8. Our intellectual property

Groopie, including its software, design, logos, and brand, is owned by us and protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable license to use the app for its intended purpose. We reserve all rights not expressly granted.

9. Third-party services & links

Groopie relies on third-party services (for example, cloud hosting and database, AI providers, analytics and crash reporting, push notifications, and mapping/geocoding) and may show links or content from third parties (such as maps, place information, and booking sites). We don't control those services and aren't responsible for them. Your use of them may be governed by their own terms and privacy policies.

10. Beta features

Some features may be labeled beta, preview, or experimental, or may simply be early. They are provided "as is," may change or be removed, and may be less reliable. Feedback you send us about Groopie may be used without restriction or obligation to you.

11. Termination

You can stop using Groopie and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the service. On termination, your right to use Groopie ends; sections that by their nature should survive (such as content license for already-shared content, disclaimers, limitations of liability, and dispute terms) will survive.

12. Disclaimers

Groopie is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Groopie will be uninterrupted, secure, or error-free, that AI output or third-party information will be accurate, or that your data will always be available. Travel involves risk; you are responsible for your own decisions, bookings, and safety.

13. Limitation of liability

To the maximum extent permitted by law, Groopie and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or trips, arising from or related to your use of (or inability to use) Groopie. Our total liability for any claim relating to Groopie will not exceed the greater of the amount you paid us for the service in the 12 months before the claim, or US $50. Some jurisdictions don't allow certain limitations, so some of these may not apply to you.

14. Indemnification

You agree to indemnify and hold Groopie harmless from claims, losses, and expenses (including reasonable legal fees) arising out of your content, your use of Groopie, or your violation of these Terms or of anyone's rights.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll take reasonable steps to let you know (for example, in the app or by email) and update the "Effective date" above. By continuing to use Groopie after changes take effect, you accept the updated Terms.

16. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. You and Groopie agree to try to resolve disputes informally first by contacting hello@groopie.ai. Where permitted, disputes not resolved informally will be handled in the courts or forum specified for the State of Delaware, United States. Nothing here limits rights you have that cannot be waived under your local law.
